Official Software, Inc. (acquired by TuneToad, a Nevada Corporation) provided products and services
designed to protect copyrights and trademarks.
We served as financial advisor to Official Software and advised the
company and its shareholders in connection with the acquisition of the company
by Tune Toad.
WebGen Systems, Inc. (technology acquired by a
large electric utility and other investors) provided advanced software for
energy conservation and control in commercial buildings. We assisted the company in restructuring its
capital, in a $5 million private placement of common stock and later advised
the company’s board of directors in connection with the sale of substantially
all of the company’s assets.
Campagne Associates (acquired by Blackbaud Inc.) provided fundraising
software to more than 3,000 non-profit clients in North America. We assisted the company in developing and
maintaining relationships with bank and other lenders.
NewCheck Systems, Inc. was a developer of
advanced, proprietary, anti-fraud check processing systems. We assisted the company in developing and
documenting its business plan and overall strategy. We later advised the company in connection
with the sale of substantially all of the company’s assets to its founder.
